FOUNDATION STATUTE “Easy Start”

Chapter I General Provisions

§ 1. Name, legal basis and seat

  1. The Foundation under the name Fundacja Easy Start, hereinafter referred to as the “Foundation”, established by Tomasz Lipiński (hereinafter referred to as the “Founder”), operates on the basis of the Act of April 6, 1984 on foundations, applicable regulations and this Statute.
  2. The seat of the Foundation is Żyrardów.
  3. The Foundation operates in the territory of the Republic of Poland and abroad.
  4. The duration of the Foundation is indefinite.
  5. The Foundation may create branches, local offices, establishments and other organizational units in the country and abroad.

Chapter II Objectives and principles of operation

§ 2. Objectives of the Foundation

The objective of the Foundation is activity consisting of:

  1. Supporting the social and professional integration of foreigners, including migrants and refugees, as well as other persons at risk of social exclusion, by providing them with material, advisory and expert support;
  2. Undertaking actions for the education and professional development of adults and youth, including organizing courses, training sessions, internships, work placements and classes improving language competences;
  3. Promotion of employment, professional activation and development of entrepreneurship, including social entrepreneurship;
  4. Conducting actions aimed at counteracting discrimination, xenophobia and social exclusion, as well as supporting equality of opportunities;
  5. Organization of cultural, sports, recreational and integration events, promoting intercultural dialogue and promotion of diversity;
  6. Promoting and organizing a healthy lifestyle, physical culture, tourism and active recreation;
  7. Cooperation with public institutions, local governments and non-governmental organizations in the field of activities for social, professional and intercultural integration.

§ 3. Forms of achieving objectives

The Foundation achieves its objectives through:

  1. organizing and conducting courses, training sessions, workshops, seminars and conferences;
  2. organizing and coordinating internships, apprenticeships and "practical vocational learning" programs in cooperation with training companies, employers, schools, in compliance with the relevant regulations;
  3. socio-administrative and intercultural assistance: support in official matters (PESEL, residence registration, ZUS/NFZ), banking, housing, transport and health;
  4. information, advisory and intervention actions (including labor market advice);
  5. translations and language support;
  6. organizing educational, cultural, sports and integration events;
  7. developing analyses, audits and recommendations for institutions and employers (B2B/B2G);
  8. cooperation with public administration, local governments, non-governmental organizations, universities, training companies, entrepreneurs and international organizations;
  9. Granting financial and in-kind benefits to program participants (scholarships, awards, subsidies for transport, accommodation, food, refunds for educational materials, etc.) and other benefits provided for by the Board's resolution, the amount of which may depend on attendance, engagement and activity of the participant in the program classes, other in-kind benefits, etc.;
  10. obtaining funds from subsidies, grants, donations, inheritances and bequests, public collections as well as paid and economic activities.

Chapter III Public benefit activity

§ 4. Unpaid and paid public benefit activity

  1. The Foundation conducts public benefit activity as unpaid and paid within the meaning of the Act of April 24, 2003 on public benefit activity and volunteering.
  2. Paid activity becomes economic activity in cases provided for in the Act, in particular when:
    1. the remuneration of a natural person for providing services in paid activity exceeds three times the average monthly salary in the national economy or
    2. the fees charged exceed the costs of this activity;
  3. The Foundation may use the services of volunteers in accordance with the regulations.

Chapter IV Assets and financial management

§ 5. Assets of the Foundation

  1. The assets of the Foundation consist of the founding fund in the amount of 10,000 PLN (ten thousand Polish zlotys in words) and other property acquired during the activity.
  2. The income of the Foundation, including from economic activity, is entirely allocated to the realization of statutory objectives.
  3. Sources of income for the Foundation include, among others, donations, inheritances and bequests, subsidies, subventions and grants, bank interest and capital income, revenues from paid public benefit activity and economic activity, funds obtained from the realization of orders and contracts.

§ 6. Financial management

  1. The Foundation maintains accounting in accordance with legal regulations and separate records for unpaid, paid and economic activities.
  2. The Foundation may grant scholarships, awards and other financial and in-kind benefits on the principles specified in the regulations adopted by the Board.
  3. Benefits granted from the Foundation's funds do not constitute benefits from the social assistance system within the meaning of the regulations on social assistance.

Chapter V Economic activity of the Foundation

§ 7. General principles

  1. The Foundation may conduct economic activity to an extent that serves its statutory objectives.
  2. To undertake economic activity, the Foundation allocates funds in the amount of at least 1,000 (one thousand in words) Polish zlotys.
  3. The Foundation may conduct economic activity in the country and abroad.

§ 8. Subject of activity

  1. The subject of the Foundation's economic activity is in particular:
    1. (PKD) 85.59.D – Other extracurricular forms of education, not elsewhere classified;
    2. (PKD) 85.69.Z – Educational support activity, not elsewhere classified;
    3. (PKD) 70.20.Z – Advice on conducting economic activity and other management advice;
    4. (PKD) 74.30.Z – Translation activity;
    5. (PKD) 82.30.Z – Activity related to the organization of fairs, exhibitions and congresses;
    6. (PKD) 62.10.B – Other programming activity;
    7. (PKD) 63.10.D – Other service activity in the field of computing infrastructure, data processing, website management (hosting) and related activities;
    8. (PKD) 49.41.Z – Road transport of goods;
    9. (PKD) 52.10.B – Warehousing and storage of other goods;
    10. (PKD) 52.26.Z – Other service activity supporting transport;
    11. (PKD) 56.11.Z – Restaurants and other permanent catering establishments;
    12. (PKD) 56.22.Z – Regular preparation and delivery of food for external recipients (regular catering) and other catering service activity;
    13. (PKD) 56.21.Z Occasional preparation and delivery of food for external recipients (occasional catering);
    14. (PKD) 81.21.Z – Non-specialized building cleaning;
    15. (PKD) 90.20.C – Other activity related to staging artistic performances;
    16. (PKD) 90.31.A – Activity of cultural centres, houses of culture, cultural facilities, clubs and community centres;
    17. (PKD) 90.31.B - Activity of other cultural facilities;
    18. (PKD) 47.12.Z – Other non-specialized retail sale;
    19. (PKD) 96.99.Z – Other service activity, not elsewhere classified;
    20. (PKD) 81.23.B – Other cleaning activity, not elsewhere classified;
    21. (PKD) 81.30.Z – Landscaping services.
  2. The Foundation may conduct activity in other areas if they serve the realization of statutory objectives.

Chapter VI Foundation bodies

§ 9. Bodies

  1. The governing body of the Foundation is its Management Board.
  2. The Founder appoints the initial members of the Board.

§ 10. Foundation Board

  1. The Board consists of 1 to 5 persons appointed and dismissed by the Founder.
  2. The Board directs the activity of the Foundation and represents it externally.
  3. The competencies of the Board include in particular:
    1. adopting action plans and budget;
    2. adopting internal regulations;
    3. managing assets;
    4. making decisions on employment and remuneration of employees;
    5. accepting donations, inheritances and bequests;
    6. adopting resolutions on public benefit and economic activities.
  4. Declarations of will on behalf of the Foundation are made individually by the President of the Board or two members of the Board acting jointly; the Board may grant a commercial power of attorney under Polish law (prokura).
  5. Members of the Board may receive remuneration for performing functions. The amount and principles of payment of remuneration are determined by the Founder.
  6. Contracts between the Foundation and a member of the Board are concluded on behalf of the Foundation by a representative appointed by a resolution of the Founder; that representative also represents the Foundation in disputes with that Board member.
  7. The first composition of the Board includes: Tomasz Lipiński - President of the Board.

Chapter VII Amendment of the statute and liquidation

§ 11. Amendment of the statute

  1. The decision to amend the statute is made by the Founder.
  2. In the absence of the Founder (death or permanent incapacity to act), the amendment of the statute is made by the Board by a majority of 2/3 votes.

§ 12. Liquidation of the Foundation

  1. The decision to liquidate the Foundation is made by the Founder, and in his absence – the Board by a majority of 2/3 votes.
  2. The remaining assets after liquidation are allocated to purposes consistent with the Foundation's objectives specified in §2, indicated by the body adopting the resolution on liquidation.
  3. The resolution may indicate a non-governmental organization with similar objectives as the beneficiary.
